Quite often when a new housing associa=
tion sets up, there are 7 directors, however if you plan on=0A having on=
ly 5 directors, these can all be subscribers while you would need anothe=
r 2 to be subscribers (ordinary members) but not directors. All subscrib=
ers should complete the Memorandum and Articles of Association while onl=
y the directors should complete=0A the CRO A1 form.

Generally, housing a=
ssociations set up as companies limited by guarantee. There must be a mi=
nimum of 5 company directors and minimum of 7 subscribers to the Memoran=
dum and Articles of Association. There must=0A be a clause in the M&=
A stating that directors are entirely voluntary and cannot receive remun=
eration. A director cannot materially benefit from any works done or con=
tracts granted by the board, eg, if a director is a building contractor,=
his / her company=0A should not be tendering for any building works bei=
ng carried out on behalf of the voluntary housing association. Essential=
ly, all directors must be working on an entirely voluntary basis and all=
of the company’s income must be directed solely towards the objects=0A=
of the company (provision of social housing for the benefit of the comm=

and there are still many projects already in the system that have been=
waiting for approval and funding for a number of years. For general nee=
ds housing, leasing and accessing private=0A finance are the methods of=
delivery for voluntary housing associations and the amount of capital f=
